1. Acceptance of Terms

Welcome to Good Company. By accessing or using our platform, waitlist, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

Good Company is operated by Good Company, a QUALITY company. These Terms constitute a legally binding agreement between you and Good Company.

2. Description of Service

Good Company is a two-sided marketplace platform that connects individuals ("Users") with vetted independent contractors ("Copilots") for in-person social experiences. These experiences may include but are not limited to:

       Dating support and wingperson services

       Networking and professional event accompaniment

       Nights out and social activities

       Errand accompaniment and everyday life support

       Family visit support and companionship

       IRL events and experiences

       Mentorship and guidance

Good Company provides the platform and technology to facilitate these connections. Copilots are independent contractors, not employees of Good Company. All in-person meetings and interactions occur outside of the platform.

3. Eligibility

To use Good Company, you must:

       Be at least 18 years of age

       Be legally capable of entering into a binding contract

       Not be prohibited from using the Service under applicable law

       Provide accurate and complete information during registration

By using our Service, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account. Good Company is not liable for any loss resulting from unauthorized use of your account.

You may not create multiple accounts, transfer your account to another person, or use another person's account without permission.

5. Copilot Standards and Vetting

All Copilots on the Good Company platform must meet our rigorous standards:

       Provide a minimum of 5 personal references

       Complete identity verification through our approved verification partner

       Pass a comprehensive background check

       Sign the Good Company Copilot Agreement

       Maintain a minimum Compass rating threshold

Good Company reserves the right to remove any Copilot from the platform at any time for any reason, including but not limited to safety concerns, low ratings, or violations of these Terms.

6. AI-Assisted Matching

Good Company uses artificial intelligence to recommend Copilot matches based on your preferences, location, interests, and platform behavior. Our AI matching system is designed to improve over time as more data is collected.

You acknowledge that:

       AI matching recommendations are suggestions only — you are not required to book any recommended Copilot

       AI matching does not guarantee compatibility or satisfaction

       Our AI system does not use protected characteristics as matching criteria

       You may provide feedback on matches to improve future recommendations

Good Company makes no warranty that AI-assisted matching will result in successful or satisfying in-person experiences.

7. Payments and Fees

7.1 Platform Fees

Good Company charges the following fees:

       Users: 5% service fee added to the Copilot's hourly rate at checkout

       Copilots: 20% platform fee deducted from earnings (10% for first 5 outings)

       Hosted events: 15% platform fee on ticket sales

 

7.2 Payment Processing

All payments are processed through Stripe. By using our Service, you agree to Stripe's Terms of Service. Good Company does not store payment card information.

 

7.3 Off-Platform Payment Prohibition

ALL payments between Users and Copilots MUST be processed through the Good Company platform. Copilots are strictly prohibited from accepting payment outside the platform. Violation of this policy will result in immediate removal from the platform and may result in legal action. Users who attempt to pay Copilots outside the platform may be permanently banned.

 

7.4 Refunds

Refund requests are handled on a case-by-case basis. Contact [email protected] within 24 hours of your outing to request a refund. Good Company reserves the right to determine refund eligibility at its sole discretion.

8. Expenses

Users may set an optional hospitality budget and transport allowance at the time of booking. These amounts are pre-approved before the outing begins. Copilots may not charge expenses beyond those pre-approved at booking. No surprise charges will be processed without explicit User consent.

9. In-Platform Communication

All communication between Users and Copilots must occur through the Good Company platform prior to and following bookings. Copilots and Users are prohibited from exchanging personal contact information (phone numbers, personal email addresses, social media handles) through the platform. Violation of this policy may result in removal from the platform.

10. Prohibited Conduct

You agree not to:

       Use the Service for any illegal purpose

       Harass, threaten, or harm any other user or Copilot

       Exchange personal contact information to circumvent the platform

       Process payments outside the platform

       Provide false information during registration or booking

       Use the Service to solicit romantic or sexual services

       Discriminate against Users or Copilots based on protected characteristics

       Attempt to hack, scrape, or reverse-engineer the platform

       Create fake reviews or manipulate the rating system

       Share another user's personal information without consent

Violation of these prohibited conduct rules may result in immediate termination of your account and, where applicable, legal action.

11. Safety

Good Company employs multiple safety measures including identity verification, background checks, in-app communication, and check-in/check-out confirmation systems. However, Good Company cannot guarantee your safety during in-person meetings.

You are responsible for your own safety. Good Company strongly encourages you to:

       Meet in public places, especially for initial meetings

       Tell a trusted friend or family member where you are going

       Use the in-app check-in and check-out features

       Trust your instincts — leave any situation that feels unsafe

       Report any safety concerns to [email protected] immediately

12. Ratings and Reviews

Good Company uses a Compass rating system. After each outing, both Users and Copilots may rate the experience on four dimensions: Connection, Comfort, Reliability, and Energy. Ratings are visible on profiles and affect Copilot visibility and standing on the platform.

You agree to provide honest, good-faith ratings. Manipulating the rating system, including providing false reviews or coercing ratings, is prohibited.

13. Intellectual Property

All content on the Good Company platform, including but not limited to logos, design, text, graphics, and software, is owned by or licensed to Good Company and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GOOD COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

GOOD COMPANY DOES NOT ENDORSE ANY COPILOT AND MAKES NO REPRESENTATIONS ABOUT THE QUALITY, SAFETY, OR SUITABILITY OF ANY COPILOT OR USER.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOD COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, OR EMOTIONAL DISTRESS RESULTING FROM IN-PERSON MEETINGS FACILITATED THROUGH THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO GOOD COMPANY IN THE THREE MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Good Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your interactions with other Users or Copilots.

17. Termination

Good Company reserves the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. You may close your account at any time by contacting [email protected].

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of New York County, New York.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.
